Terms of Service

The short version
We provide an AI-powered project management platform. You own your data. AI outputs need human review. If you bring your own API key, you are responsible for all costs on that key. Credits are prepaid and non-refundable. We do our best to keep things running, but we cannot guarantee 100% uptime. If either of us wants to part ways, your data sticks around for 30 days so you can export it.
1. Acceptance of Terms
By accessing or using Mova ("the Service"), operated by Mova ("we," "us," or "our") at usemova.app, you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.
2. Service Description
Mova is an AI-powered project management platform that provides:
- Task and project management with customizable workflows
- AI-powered project management assistant (using Anthropic Claude and OpenAI APIs)
- Automated notifications via email (SendGrid), SMS, and WhatsApp (Twilio)
- Third-party integrations including Slack, HighLevel (CRM), and Stripe (billing)
- White-label branding with custom subdomains
- MCP server connectivity for AI development tools
- Mobile applications (iOS, Android, macOS) when available
The Service is a multi-tenant platform. Each organization's data is logically isolated from other organizations.
3. Account Responsibilities
When you create an account, you agree to:
- Provide accurate and complete registration information
- Maintain the security of your password and account credentials
- Promptly notify us of any unauthorized access to your account
- Accept responsibility for all activity that occurs under your account
You may not share account credentials or allow multiple individuals to use a single account. Organization administrators are responsible for managing access for their team members.
4. Bring Your Own Key (BYOK)
Plain English
If you plug in your own Anthropic or OpenAI API key, any charges on that key are yours. We store it securely, but we have no control over what it costs you.
Mova allows you to provide your own API keys from supported AI providers (currently Anthropic and OpenAI). When you use the BYOK feature:
- You are solely responsible for all charges, fees, and costs incurred through your API key with the respective provider.
- Mova encrypts your API key at rest and uses it exclusively to process your requests. We do not share your key with any other party.
- Mova is not liable for any costs, overuse, rate limiting, account suspension, unexpected charges, or any other consequences arising from the use of your API key.
- You are responsible for monitoring your own API usage and spending limits with your provider.
- You use the BYOK feature entirely at your own risk.
- You represent that you have the right to use the API key you provide and that your use complies with the provider's terms of service.
If you suspect your API key has been compromised, you should immediately rotate it with your provider and update it in Mova (or remove it).
5. AI Features Disclaimer
Plain English
AI is a tool, not an expert. Always have a human review important decisions. AI can be wrong, incomplete, or produce unexpected results.
Mova uses artificial intelligence to provide project management assistance, generate suggestions, summarize information, and automate workflows. You acknowledge and agree that:
- AI-generated outputs are not guaranteed to be accurate, complete, current, or suitable for any particular purpose.
- AI responses may contain errors, omissions, or hallucinated information.
- You should not rely on AI outputs for critical business, legal, financial, or medical decisions without independent human review and verification.
- Mova does not warrant that AI features will meet your specific requirements or produce any particular results.
- AI model behavior may change over time as underlying providers update their models.
6. Token Billing and Credits
Plain English
You buy credits upfront. They get used as you chat with AI. Credits do not carry a cash refund. Usage estimates may not be exact.
Mova operates a token-based billing system for AI features:
- Credits are prepaid. You purchase credit packages through our billing system (powered by Stripe).
- Credits are non-refundable except where required by applicable law.
- Usage is tracked per conversation and estimated based on token consumption. Actual token usage may vary from estimates displayed in the interface.
- Unused credits do not expire while your account remains active.
- Credits are non-transferable between organizations.
- We reserve the right to adjust credit pricing with 30 days' advance notice.
Subscription plans (if applicable) are billed monthly or annually via Stripe. You authorize recurring charges when you subscribe. You may cancel at any time; cancellation takes effect at the end of the current billing period.
7. Third-Party Integrations
Mova connects to various third-party services to provide functionality:
- Anthropic & OpenAI -- AI language model processing
- Twilio -- SMS and WhatsApp messaging
- SendGrid -- Transactional email delivery
- Stripe -- Payment processing and billing
- HighLevel -- CRM integration (optional)
- Slack -- Team communication (optional)
We are not responsible for the availability, performance, pricing changes, data handling, or terms of service of any third-party service. If a third-party service experiences downtime, changes its API, or modifies its pricing, we will make reasonable efforts to adapt but cannot guarantee uninterrupted functionality of dependent features.
Your use of third-party integrations may be subject to those providers' own terms and policies. You are responsible for reviewing and complying with them.
8. Data Ownership
You own your data. Mova does not claim any ownership rights over the content you create, upload, or store on the platform -- including projects, tasks, comments, files, AI conversations, and any other user-generated content.
You grant Mova a limited, non-exclusive license to use your data solely for the purpose of operating and improving the Service. This includes processing your data through AI providers to deliver AI features you have requested.
We may use aggregated, anonymized, and de-identified usage data (which cannot be linked back to you or your organization) to improve the Service, analyze trends, and develop new features.
9. Limitation of Liability

We provide Mova "as is." If something goes wrong, the most we would owe is what you paid us in the last 12 months.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOVA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.
IN NO EVENT SHALL MOVA'S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNTS YOU HAVE PAID TO MOVA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID ANY FEES, MOVA'S MAXIMUM LIABILITY SHALL BE ONE HUNDRED DOLLARS ($100 USD).
10. Indemnification
You agree to indemnify, defend, and hold harmless Mova, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service, including any content you create or actions you take
- Your use of the BYOK feature, including any charges, disputes, or claims related to your API key
- Third-party integrations you configure or enable
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any claim that your content infringes the rights of a third party
11. Termination
Either party may terminate the relationship at any time:
- You may cancel your account at any time through your account settings or by contacting support.
- We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or fail to pay outstanding charges.
Upon termination:
- Your data will be retained for 30 days to allow you to export it.
- After 30 days, your data will be permanently deleted from our systems (excluding backups, which are purged on their normal rotation cycle).
- Any remaining prepaid credits are forfeited and non-refundable.
- Stored API keys (BYOK) will be permanently deleted upon account deletion.
12. Messaging and Communications Consent
By configuring notification channels (SMS, WhatsApp, email) within Mova, you consent to receive messages through those channels. These messages may include:
- Task assignments and updates
- AI assistant responses and summaries
- Project status notifications
- System alerts and account notifications
- Billing and payment confirmations
You can manage your notification preferences at any time in your account settings. Standard messaging and data rates from your carrier may apply to SMS and WhatsApp messages. Message frequency varies based on your project activity and notification settings.
To opt out of SMS messages, reply STOP to any message or update your notification settings. To opt out of email notifications, use the unsubscribe link in any email or update your settings.
13. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Transmit malicious code, viruses, or harmful data
- Attempt to gain unauthorized access to other accounts, systems, or data
- Abuse AI features, including attempting to circumvent content filters, generate harmful content, or use AI outputs in ways that violate AI provider terms
- Attempt to bypass, manipulate, or exploit the token billing system
- Use the Service for spam, phishing, or unsolicited bulk messaging
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Resell access to the Service without written authorization
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service in any way that could damage, disable, or impair it
We reserve the right to suspend or terminate accounts that violate this acceptable use policy, with or without prior notice depending on the severity of the violation.
14. Service Availability
We strive to maintain high availability of the Service but do not guarantee any specific uptime percentage. The Service is provided on a "best effort" basis.
We may temporarily interrupt access to the Service for maintenance, updates, or security patches. When possible, we will provide advance notice of planned downtime. We are not liable for any loss or damage resulting from Service unavailability.
15. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict-of-law provisions.
Any disputes arising under or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Dallas, Texas.
Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.
16. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will:
- Provide at least 30 days' advance notice via email or an in-app notification
- Update the "Last updated" date at the top of this page
- Post the revised Terms on this page
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Service and close your account.
17. General Provisions
- Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mova regarding the Service.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- Force Majeure. Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or Internet service disruptions.
